# 11410 – Agency Law

Professional Development Series

### 11410  —  Agency Law

1
#### Overview

Agency law is the body of legal principles governing the relationship between an agent and their principal — the client who appoints them — and it sits underneath most of the rest of this series, not just this branch. The fiduciary duties, authority, and liability described here are the legal foundation that explains why the practical rules in earlier entries (passing on every offer in Negotiation, 11120, an agent's inability to give legal advice in Closing, 11130) exist in the first place.

Understanding this branch as foundational, rather than as one more compliance topic alongside the others, changes how it's worth reading: agency law isn't a separate rule set an agent memorises alongside their day-to-day practice, it's the legal explanation for why that day-to-day practice takes the shape it does. Most of the specific obligations covered elsewhere in this series trace back to the fiduciary duty described below.

#### Scope & Boundaries

**This entry covers:**

- The agent-principal relationship and fiduciary duty
- Actual and apparent authority
- Dual agency as a legal-doctrine question, not just a practical tension

**This entry does not cover:**

- The specific contract document this relationship produces → addressed in Contracts (11420)
- The general trade-practices standard overlaying the relationship → addressed in Consumer Protection (11430)
- The licensing framework that authorises someone to act as an agent at all → addressed in Real Estate Licensing & CPD (11460)

Scope Note
This entry is part of APN's Agent Resources & Business series — original professional-development content, distinct from APN's market-data nodes (21000+) and proprietary indices (24000+).

#### Key Concepts

Fiduciary Duty
The legal obligation to act in the principal's best interests, avoid conflicts of interest, and not profit secretly from the agency relationship — the strictest category of legal duty in Australian law, and the foundation beneath most of the specific conduct obligations described elsewhere in this series.

Principal
The client who appoints an agent and to whom the fiduciary duty is owed — usually the vendor in a standard listing agreement, a fact that clarifies why an agent's obligations to a buyer are more limited than their obligations to the vendor.

Actual and Apparent Authority
Actual authority is what a principal has genuinely given an agent permission to do; apparent authority is what a third party reasonably believes the agent can do based on the principal's conduct — a distinction that matters because an agent can sometimes bind a principal to an action the principal never actually authorised, if apparent authority existed.

Dual Agency
The situation, in legal-doctrine terms, where an agent's fiduciary duty runs to the vendor while they simultaneously deal directly with a buyer — the structural tension already introduced in Negotiation (11120)'s practical discussion of the same issue, here as the legal principle that tension derives from.

Undisclosed Conflict of Interest
A situation where an agent has a personal or financial interest in a transaction — buying the property themselves, a family connection to a buyer — that isn't disclosed to the principal, a serious breach of fiduciary duty regardless of whether the outcome for the principal is ultimately favourable.

Vicarious Liability
The principle under which an agency can be held legally responsible for the actions of its employed or authorised agents acting within the scope of their role — a key reason agencies maintain supervision and training obligations over individual agents, beyond simple licensing.

#### Regulatory & Legal Framework

Agency law in Australia derives from common law principles built up over more than a century of case law, supplemented by state-based property and real estate agent legislation that codifies specific duties and licensing requirements for real estate agency in particular, distinct from general commercial agency law covering other industries.1,2,3

An agent's fiduciary duty is the legal foundation beneath obligations described elsewhere in this series — the requirement to pass on every offer received (Negotiation, 11120), the constraint on an agent's own commercial interests in a transaction, and the licensing framework (Real Estate Licensing & CPD, 11460) that formalises who is permitted to take on this duty in the first place.

5
#### Practical Application

##### Knowing Who the Principal Actually Is

Understanding who an agent's principal actually is in a given transaction clarifies a lot of practical questions that come up elsewhere in this branch — why an agent can't simply act as a neutral broker between buyer and seller, why a Buyer's Agent exists as a distinct professional role built around a different fiduciary relationship, and why passing on every offer isn't a courtesy but a legal duty.

##### Disclosing Conflicts Immediately, Not When Convenient

Any personal or financial interest in a transaction — however minor it might seem — is worth disclosing to the principal at the earliest possible point, not once it becomes relevant to a decision. Agents who treat disclosure as a standing, default habit rather than a judgement call avoid the situations most likely to produce a genuine fiduciary breach.

##### Common Mistakes

The most common mistake is treating a buyer as if they were owed the same duty as the vendor principal, blurring a distinction that matters legally as well as practically. A second is failing to disclose a personal interest in a transaction promptly, even where the agent believes the outcome for the principal is unaffected. The third is assuming apparent authority works only in the principal's favour, when it can also bind a principal to an action they never actually intended to authorise.
